Contract for Hardware Accessories
This contract is for hardware accessories, including but not limited to computers, printers, scanners, and other devices. The hardware accessories shall be provided by the seller to the buyer in accordance with the terms and conditions stated in this contract. The buyer agrees to pay the seller the agreed upon price for the hardware accessories, and the seller agrees to ship the buyer the hardware accessories promptly upon receipt of payment. All warranties for the hardware accessories shall be provided by the seller, and any claims for damages or defects shall be made by the buyer within the time frame specified in this contract.

WITNESSETH:
That the Buyer has agreed to purchase from the Seller and the Seller has agreed to sell to the Buyer, the following goods:

The parties hereby agree as follows:
1、Payment: The Buyer shall make payment to the Seller in advance, prior to the shipment of the goods. The payment shall be made by wire transfer to the Seller's designated bank account. The Seller shall provide the Buyer with the necessary banking information prior to the date of payment.
2、Delivery: The Seller shall arrange for the shipment of the goods to the Buyer's designated port of entry, within a reasonable time after receiving payment. The Seller shall provide the Buyer with a shipping schedule and tracking information at the time of shipment.
3、Quality Assurance: The Seller guarantees that the goods shall be of high quality and shall conform to the specifications and standards specified by the Buyer. The Seller shall provide the Buyer with a certificate of conformity at the time of shipment, certifying that the goods have been inspected and meet the specified standards.
4、Warranty: The Seller warrants that the goods shall be free from defects in material and workmanship for a period of one year from the date of purchase. In case of any defect, the Seller shall replace or repair the goods, at its option, promptly upon receipt of notice from the Buyer.
5、Penalty for Late Delivery: In case the Seller fails to make delivery of the goods within the agreed time, it shall pay to the Buyer a penalty equal to 10% of the total contract value per day of delay. The Seller shall also compensate the Buyer for any additional cost incurred due to late delivery, including but not limited to storage charges, transportation fees, and other related expenses.
6、Termination: This Contract may be terminated by either party, at its option, prior to its expiration date, by giving written notice to the other party. In case of termination by the Buyer, the Seller shall refund to the Buyer all amounts paid by the Buyer under this Contract, within a reasonable time after receipt of notice of termination. In case of termination by the Seller, the Seller shall compensate the Buyer for any losses incurred by the Buyer due to termination, including but not limited to those mentioned in paragraph 5 above.
7、Dispute Resolution: Any dispute arising out of or in connection with this Contract shall be settled by negotiation between the parties. In case no settlement is reached, such dispute shall be referred to arbitration at Paris under the Rules of Arbitration of International Chamber of Commerce (ICC). The arbitration award shall be final and binding on both parties.
8、Miscellaneous: This Contract is made in English and French, both versions being equally binding. All communications between the parties shall be made in English or French, as specified by the party receiving such communication. This Contract is governed by French law.
