Contract for the Purchase of Door and Window Hardware Accessories Version 2This contract is for the purchase of door and window hardware accessories. It outlines the terms and conditions under which the buyer agrees to purchase the products from the seller. The contracting parties, hereinafter referred to as "Buyer" and "Seller", agree as follows:
1、General Provisions:
1、1 This Contract is made out in duplicate, one copy for each party, and shall be executed on or before the date of signing by both parties.
1、2 The Contract shall be valid for a period of two years from the date of signing, unless otherwise agreed upon by both parties.
1、3 The Contract shall be subject to the laws of the country in which the Buyer is located, and all disputes arising out of or in connection with the Contract shall be settled by negotiation or, if necessary, by arbitration in accordance with the laws of such country.
2、Description of Goods and Services:
2、1 The Seller shall supply to the Buyer the following goods and services:
(1) Door hardware accessories, including door handles, locks, and other related components;
(2) Window hardware accessories, including window handles, locks, and other related components;
(3) Any other hardware accessories related to doors and windows as may be requested by the Buyer from time to time.
2、2 The Seller shall ensure that the goods and services provided are of high quality and meet all relevant standards and specifications.
3、Prices and Payment:
3、1 The Seller shall quote the prices for the goods and services to be provided under this Contract, and such prices shall be fixed and final, except as otherwise agreed upon by both parties.
3、2 The Buyer shall make payment to the Seller by wire transfer or any other agreed upon method of payment. All payments shall be made in the currency agreed upon by both parties.
3、3 The Seller shall issue an invoice to the Buyer for each shipment made under this Contract, and the Buyer shall make payment for each shipment within 30 days of receipt of the invoice.
4、Delivery and Shipment:
4、1 The Seller shall arrange for the delivery and shipment of the goods to the Buyer's designated location. All transportation costs shall be borne by the Seller.
4、2 The Seller shall ensure that the goods are properly packed and labeled for transportation, and that all necessary customs documents are properly prepared and submitted to ensure smooth delivery.
5、Warranty and售后保修:
5、1 The Seller shall provide a warranty for all goods and services provided under this Contract, covering any defects in materials or workmanship for a period of two years from the date of installation or commissioning, whichever is later.
5、2 During the warranty period, the Seller shall provide free maintenance and repair services to the Buyer, including but not limited to repairing or replacing defective parts or components at no additional cost to the Buyer.
6、Contract Termination:
6、1 This Contract may be terminated by either party at any time upon written notice to the other party. In such event, the terminating party shall be responsible for all costs and expenses incurred by the other party up to the date of termination.
6、2 If either party breaches any term or condition of this Contract, the other party may terminate this Contract immediately upon written notice to the breaching party, and such termination shall be effective immediately upon receipt of such notice by the breaching party. In such event, the breaching party shall be responsible for all costs and expenses incurred by the other party up to the date of termination, including but not limited to lost profits and damages resulting from such breach. 7. General Provisions: 7.1 Neither party shall assign its rights or obligations under this Contract without the prior written consent of the other party. 7.2 This Contract constitutes the entire agreement between the parties with respect to the purchase of door and window hardware accessories, and no modification or amendment thereof shall be effective unless made in writing and signed by both parties. 7.3 All notices or other communications required or permitted under this Contract shall be given in writing by letter or by electronic means, and shall be deemed to have been received on the date of transmission if transmitted by electronic means, or on the date of delivery if delivered by letter. 7.4 The failure of either party to enforce any provision of this Contract shall not constitute a waiver of such provision or any other provision of this Contract, nor shall it affect the validity or enforceability of this Contract as a whole or any part thereof. 7.5 This Contract may not be modified or amended except by a written instrument signed by both parties or as otherwise provided in this Contract. 7.6 This Contract is made out in English only, and English shall be used as the official language for all communications between the parties related to this Contract.
