Title: Hardware Wholesale Purchase Contract
This is a hardware wholesale purchase contract made between [Seller's Name] and [Buyer's Name]. The Seller agrees to sell and the Buyer agrees to purchase the following hardware products: [List of products and quantities]. The prices for each product shall be as specified in the table attached to this contract. The total cost of the purchase shall be paid by the Buyer to the Seller within 30 days of signing this contract. ABC Hardware Wholesale Inc. (hereinafter referred to as the "Seller") agrees to sell to XYZ Construction Co. (hereinafter referred to as the "Buyer") the following products:
1、1000 pieces of 2-inch screws, at a unit price of $0.50 each
2、500 pieces of 4-inch nails, at a unit price of $0.60 each
3、250 pieces of 6-inch bolts, at a unit price of $0.75 each
4、150 pieces of 8-inch nuts, at a unit price of $0.85 each
5、100 pieces of 10-inch washers, at a unit price of $1.00 each
The total value of the contract is $1,500.00 (One Thousand Five Hundred Dollars).
Terms of Sale:
1、The Seller agrees to ship the products to the Buyer's designated shipping address within 5 business days from the date of receipt of payment.
2、The Buyer agrees to make payment in full before shipping, either by bank transfer or cash on delivery, as agreed upon by both parties.
3、All products are sold as is, without warranty. The Seller will not be responsible for any defects or damages that may arise from use or misuse of the products.
4、The Buyer agrees to use the products in accordance with good construction practices and to comply with all applicable laws and regulations.
5、Neither party shall be liable for any losses or damages caused by force majeure events, such as natural disasters, government actions, or other events beyond their reasonable control.
6、This contract shall be governed by the laws of the State of California, USA. Any disputes arising from this contract shall be resolved in a court of competent jurisdiction in the State of California.
7、This contract is made effective as of the date stated above and shall remain in force until all products are shipped and payment is made in full.
8、Both parties agree that this contract is their sole agreement with respect to the sale of the products mentioned herein and that no other terms or conditions shall be binding upon either party unless agreed upon in writing by both parties.
9、Any amendments or modifications to this contract must be made in writing and signed by both parties before they become effective.
